These terms of use govern the use of the B2B platform on the website b2b.commel.hr, operated by Commel-Zagreb d.o.o. for production and trade, Samoborska cesta 143, 10 090 Zagreb, OIB: 69638353517 (hereinafter: Commel), which platform is intended exclusively for registered users.
The published terms of use prescribe the rules for using the services and content of the B2B platform available on the website b2b.commel.hr. By using the platform in question, users confirm that they are familiar with these terms of use and that they agree to use the said service in accordance with them. Commel reserves the right to change or terminate any part of the terms of use at any time, without prior notice, and users are invited to monitor and check the entry into force of the aforementioned changes. A registered user (hereinafter: User) in the sense of these terms of use is any business entity with a registered activity (a trading company, a trade or similar, excluding natural persons) who, as a buyer, orders goods via the B2B platform, and to whom Commel, as an existing contractual and business partner, has opened a user account and assigned the status of a B2B buyer.
The services of the B2B platform can be used exclusively by interested registered users whose registration is carried out by Commel and, at the User’s request, assigns user data consisting of a username and password. During registration, Commel will create a corresponding user profile for each User, during which his username and password are linked to the existing data of the business entity that Commel has at its disposal. The User is obliged to maintain the confidentiality of user data and prevent all third parties from misuse.
The possibility of independent registration of the User as well as any independent modification or alteration of user data by the User, except for the password, is excluded. In the event that the User wishes to change the existing data visible in their profile after registration, and which concerns a business entity, they may submit a request to prodaja@commel.hr.
Users are obliged to promptly notify Commel of any change in the business entity’s data, such as status changes or address changes, which affect the implementation, processing, payment and delivery of the order. Commel is not liable for any errors in the implementation, processing and delivery of the order that are the result of an omission by the User.
Users are obliged to use the platform in accordance with the contractual relationship and applicable regulations and these terms of use. Commel reserves the right to disable access to the site and platform to those Users who use the service in question in an inappropriate manner, who do not comply with these terms of use or who violate the contractual relationship, which makes it impossible to continue placing orders. At the same time, Commel will disable the use of the profile in case of suspected abuse and remove the user profile of entities that have ceased to exist.
The right to use the B2B platform is the right of an individual business entity and cannot be transferred to other entities.
The B2B platform available on the website b2b.commel.hr is intended exclusively for ordering products and services of the company Commel. Each User is assigned a profile in accordance with a previously concluded business cooperation agreement or agreed commercial terms, in accordance with which they view products and place orders, and within the profile they can view their account, order history and their data. Ordering is available 7 days a week and 24 hours a day.
After logging in, the User can start selecting products from the offer. The User is provided with a view of each individual product, with the proviso that some of the photos may be illustrative in nature and may differ from the delivered product.
Product searches are performed by product categories. By clicking on a specific product, the User has access to the main features of the product, i.e. its short description, article number and type of packaging are visible, and toolbars with product description and technical information are available below the product.
Each individual product is accompanied by the corresponding price according to the profile of the specific customer and their commercial conditions/contractual relationship. Prices are expressed in HRK, and for foreign Users in EUR. The prices shown do not include VAT and are valid at the time of placing a specific order.
Commel reserves the right to change, supplement or terminate any part of the content of the website and platform without prior notice, including product prices, types of goods and services, availability time or access to the site.
Ordering is done by selecting products and quantities and completing the order, of which the User will receive an order confirmation in PDF format to their e-mail address. In the event that the User has not received the confirmation in question, they can contact Commel via prodaja@commel.hr.
Each individual User is obliged to place an order in the minimum amount previously agreed upon between business partners. The placed order is forwarded within the Commel system for processing.
In the event that Commel currently does not have the ordered product or the ordered quantities available, or is unable to produce a specific product for reasons that it could not foresee or eliminate, it will immediately notify the User.
Commel makes efforts to ensure that the use of the website and the platform is continuous with the timely elimination of errors and problems in the operation of the site. Nevertheless, it is possible that the use of the website and the B2B platform may be temporarily unavailable or interrupted. Commel is not responsible for any interruption of service, disconnection or unavailability of service that is the result of an event that it could not foresee or eliminate, nor is it responsible for any loss of data that occurred due to interruptions in the transmission of information.
Users use the website and the platform at their own risk, and Commel is not responsible for any damage that the User may suffer from using them.
Payment for ordered products and services in accordance with these Terms of Use is made depending on the internal status and classification of the User, or the agreed payment terms. If the User has been granted a deferred payment, the same is made according to the received invoice, and otherwise the payment is made according to the pro forma invoice delivered to the User’s e-mail address as a buyer.
In the case of advance payment, the order is considered completed only upon receipt of payment, and for Users who have a deferred payment currency, the order is considered completed at the time of electronic receipt of the order via the B2B platform.
The delivery time for products from the standard program is:
for Users based in the Republic of Croatia up to 7 business days from receipt of the order;
for Users based abroad up to 14 business days from receipt of the order.
Delivery is not included in the product price. Delivery terms and prices depend on the quantity and value of the ordered goods and the contractual relationship between the User and Commel as business partners.
The User may independently, at his own expense, collect the goods with the parity EXW Zagreb from the Commel warehouse at the address Samoborska cesta 143, 10 090 Zagreb, in which case the ordered goods will be made available to him within 7 working days of receipt of the order.
If the User has outstanding debts towards Commel on the day of placing the order, the delivery period for the goods may be extended until the claim is settled, in which case the day of placing the order will be considered the day of settlement of the existing outstanding claims.
These Terms were published on the website b2b.commel.hr on January 22, 2021, on which day they enter into force and apply until the adoption and publication of amendments and supplements to them.
